These Terms of Service (the "Terms") set out the conditions for using "dishnote", a restaurant search and review service (the "Service") provided by OFFICE MURO Inc. (the "Company"). Anyone who uses the Service (a "User") agrees to these Terms by using the Service.
Article 1 (Application)
- These Terms define the rights and obligations between the Company and Users regarding the Service and apply to every aspect of the relationship between a User and the Company concerning the Service.
- Guidelines, notices and other rules that the Company publishes on the Service ("Supplementary Rules") form part of these Terms. If a Supplementary Rule conflicts with these Terms, the Supplementary Rule prevails.
- The Japanese version of these Terms is the official text. Translations into other languages are provided for convenience only, and the Japanese version prevails in the event of any discrepancy.
Article 2 (Definitions)
In these Terms, the following words have the meanings given below.
- "Restaurant Information" means the names, addresses, opening hours, menus, prices, facilities, reservation availability and other information about restaurants published on the Service.
- "Member" means a User who has registered an account under Article 3.
- "User Content" means reviews, ratings, dining records, photos of dishes or restaurants, comments, corrections or reports about Restaurant Information, and any other information that a Member posts to or sends through the Service.
- "External Sites" means third-party websites and services linked from the Service, such as reservation sites, restaurant guides, map services, and restaurants' official websites or social media accounts.
Article 3 (Registration)
- To use Member features (posting, dining records, saving restaurants, etc.), a person must agree to these Terms and apply for registration in the manner the Company prescribes. Registration is complete when the Company approves the application.
- Members must register true and accurate information and promptly update it when it changes.
- Minors must obtain the consent of a parent or other legal guardian before registering.
- The Company may refuse an application or later cancel a registration in any of the following cases, without any obligation to disclose its reasons.
- The registered information is false, erroneous or incomplete.
- The applicant has previously been suspended or had a registration cancelled for violating these Terms or otherwise.
- The Company determines that the applicant is, or is involved with, an anti-social force.
- The Company otherwise determines that registration is inappropriate.
Article 4 (Account Management)
- Members must manage their account credentials (email address, password, linked external services and any other information used to sign in) at their own responsibility and must not let a third party use, borrow or take over the account.
- Any act performed through an account is deemed to be the act of the Member who holds it. Except in cases of the Company's willful misconduct or gross negligence, the Company is not liable for damage suffered by a Member due to insufficient account management, misuse, or use by a third party.
- A Member who becomes aware that a third party is using their account must notify the Company immediately.
Article 5 (The Service)
- The Service provides Restaurant Information for finding restaurants by dish, area, cuisine and other criteria, publishes User Content posted by Members, and guides Users to External Sites.
- Restaurant Information is compiled from publicly available sources, information provided by restaurants, User Content, and editing by the Company. Restaurant descriptions may include text generated by artificial intelligence based on the collected information.
- The Company does not guarantee that Restaurant Information is accurate, complete or up to date. Opening hours, prices, menus, reservation availability, and accommodation of allergies or religious dietary requirements may change, so Users must confirm directly with each restaurant before visiting, ordering or booking.
- The order and presentation of restaurants on the Service follow criteria set by the Company. Search results and rankings are never distorted in exchange for advertising or other consideration. Advertising and referral placements are labeled as such.
- The Company may change, add to or discontinue the Service without prior notice to Users.
Article 6 (User Content)
- Members must post User Content based on their own actual experience and must not include anything that is untrue.
- A Member who posts after receiving money, free food or drink, discounts or any other consideration from a restaurant or a related party must disclose that fact in the post.
- Members represent and warrant that they have the lawful right to post their User Content and that it does not infringe the rights of any third party.
- Copyright in User Content remains with the Member or the rightful owner. However, each Member grants the Company a royalty-free, non-exclusive, worldwide and perpetual license to use the User Content (including reproducing, transmitting, translating, adapting, editing, excerpting and displaying it) on the Service and the Company's related services, including for advertising and promotion, translation into other languages, summaries and statistics, and publication in other media, and agrees not to exercise moral rights against the Company or anyone who succeeds to or is licensed by the Company. This license survives withdrawal of membership.
- Unless a Member can set a visibility level, User Content is published on the Service to the general public.
- If the Company determines that User Content violates or may violate these Terms, or otherwise considers it necessary, the Company may hide, edit or delete the User Content without notice to the Member. The Company is under no obligation to monitor User Content at all times.
- The Company is under no obligation to back up User Content. Members should keep their own copies as needed.
Article 7 (Prohibited Acts)
Users must not engage in any of the following when using the Service.
- Acts that violate laws, regulations or public order and morals
- Acts related to criminal activity
- Posting untrue information, content not based on actual experience, or misleading content
- Defaming, damaging the reputation or credit of, or infringing the privacy of restaurants, their staff, other Users or third parties
- Threatening, coercing, obstructing the business of, or otherwise harassing restaurants or their staff
- Posting without disclosing that consideration was received, or posting about a restaurant in which the User is involved while pretending to be neutral
- Impersonating a third party or improperly using multiple accounts
- Infringing the copyrights, trademarks or other intellectual property rights of the Company, restaurants or third parties
- Sales, promotion, advertising, solicitation or other commercial activity (except as approved by the Company)
- Collecting, copying, storing, republishing or redistributing Restaurant Information, User Content or other information on the Service by scraping, crawling or other automated means without the Company's permission
- Placing excessive load on the Service's servers or network, unauthorized access, reverse engineering, or otherwise interfering with the operation of the Service
- Collecting or storing other Users' personal information
- Providing benefits to or otherwise cooperating with anti-social forces
- Assisting or encouraging any of the above
- Any other act that the Company considers inappropriate
Article 8 (Publication and Correction of Restaurant Information)
- The Company may publish Restaurant Information based on publicly available sources regardless of whether the restaurant operator has consented.
- Restaurant operators and related parties may request correction of errors, or report closures, relocations and similar changes, in the manner the Company prescribes. The Company will review the request and respond to the extent it considers necessary.
- The Company decides whether and how Restaurant Information is published and whether to discontinue publication, and is not obliged to comply with every request from a restaurant.
Article 9 (Intellectual Property)
- Copyright and other intellectual property rights in the text, images, programs, databases, designs, trademarks, logos and other materials that make up the Service belong to the Company or to third parties who have licensed them to the Company.
- Users must not use materials on the Service beyond the scope expressly permitted by these Terms.
Article 10 (Advertising and External Sites)
- The Company may display its own or third-party advertising on the Service. Advertising and referral placements are labeled as such.
- The Service contains links to reservation sites and other External Sites. Use of an External Site (reservations, purchases, registration, etc.) takes place between the User and the External Site or the restaurant under that site's terms. The Company is not a party to it and is not responsible for the content of External Sites or for any transaction made there.
- The Company may receive compensation (such as affiliate commissions) from the operators of External Sites for referrals.
Article 11 (Suspension, Change and Termination of the Service)
- The Company may suspend or interrupt all or part of the Service without prior notice to Users in any of the following cases.
- Maintenance, inspection or updates of the system
- Force majeure such as earthquakes, fire, power outages, natural disasters or epidemics that make it difficult to provide the Service
- Failure of computers or communication lines due to an accident
- Suspension of an external service on which the Service relies
- Any other case in which the Company considers suspension or interruption necessary
- The Company may terminate all or part of the Service at its discretion. In that case, the Company will endeavor to notify Users with reasonable advance notice.
- The Company is not liable for damage suffered by Users as a result of suspension, interruption, change or termination under this Article.
Article 12 (Restriction of Use and Cancellation of Registration)
The Company may, without prior notice, delete User Content, restrict use of the Service, or cancel a Member's registration if the User falls under any of the following. The Company is not liable for damage suffered by the User as a result.
- The User violates any provision of these Terms.
- The registered information turns out to be false.
- A considerable period has passed since the last use and the Company determines that the User no longer intends to use the Service.
- The User does not respond to the Company's communications for a considerable period.
- The Company otherwise determines that use of the Service is inappropriate.
Article 13 (Withdrawal)
- Members may withdraw from the Service at any time through the procedure the Company prescribes.
- The license in Article 6, paragraph 4, and any obligations incurred before withdrawal survive withdrawal. After withdrawal, User Content may remain on the Service at the Company's discretion (including with the display name hidden).
Article 14 (Disclaimer)
- The Company makes no warranty, express or implied, that the Service is fit for a particular purpose, has the functions, value, accuracy or usefulness expected, complies with laws applicable to the User, or is free of defects.
- The Company bears no responsibility for disputes arising in connection with the Service between a User and a restaurant, another User or a third party. Users must resolve such disputes at their own responsibility and expense.
- Except in cases of the Company's willful misconduct or gross negligence, the Company is not liable for damage suffered by Users in connection with the Service. Even where the Company is liable, its liability is limited to direct damage that would ordinarily arise, and the Company is not liable for lost profits or other special damage, except where mandatory law such as the Consumer Contract Act does not allow the Company's liability to be limited.
Article 15 (Compensation)
A User who causes damage to the Company by violating these Terms or in connection with use of the Service must compensate the Company for that damage, including reasonable attorneys' fees.
Article 16 (Personal Information)
The Company handles personal information obtained through the Service appropriately in accordance with its Privacy Policy.
Article 17 (Changes to These Terms)
- The Company may change these Terms without obtaining Users' consent, in accordance with the Civil Code of Japan.
- The amended Terms take effect when displayed on the Service or on the effective date the Company specifies. For material changes, the Company will endeavor to give notice on the Service a reasonable period in advance.
- A User who uses the Service after a change is deemed to have agreed to the amended Terms.
Article 18 (No Assignment)
Users may not assign, or offer as security, their position under these Terms or any rights or obligations under these Terms to a third party without the Company's prior written consent.
Article 19 (Business Transfer)
If the Company transfers the business relating to the Service to a third party, the Company may transfer its position, rights and obligations under these Terms, together with Members' registered information and other information, to the transferee as part of that transfer, and Members agree to this in advance.
Article 20 (Severability)
If any provision of these Terms, or part of one, is held invalid or unenforceable under applicable law, the remaining provisions continue in full force and effect.
Article 21 (Governing Law and Jurisdiction)
- These Terms are governed by and construed in accordance with the laws of Japan.
- Any dispute concerning the Service or these Terms is subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
